Supplier Code of Conduct (SCOC)

此行為規(guī)范(提供給所有供應(yīng)商、賣主以及被許可者等(統(tǒng)稱為供應(yīng)商))適用于所有為青海泰豐先行或根據(jù)與泰豐先行或其分支、代理機(jī)構(gòu)的許可協(xié)議生產(chǎn)、銷售任何帶有泰豐先行公司系列商標(biāo)的產(chǎn)品或服務(wù)的泰豐先行公司的分支、附屬機(jī)構(gòu)及其他任何有關(guān)單位提供產(chǎn)品的所有供應(yīng)商。

This Code of Conduct (provided to all suppliers, vendors, licensees, etc. – hereinafter called “supplier(s)”) applies to all suppliers that produce or provide goods for Taifeng or any of its subsidiaries, divisions, affiliates or agents and all entities that produce, source, distribute, market, and/or sell goods or services under trademarks of Taifeng pursuant to a license with TAIFENG or any of its subsidiaries, divisions, affiliates or agents.

    在考慮到各供應(yīng)商處于全球不同法律、文化背景的情況下,此規(guī)范闡明了泰豐先行在環(huán)境、勞工、用工條件及倫理實(shí)踐等方面對(duì)其供應(yīng)商的基本期望與要求。同時(shí)此規(guī)范也是作為泰豐先行對(duì)供應(yīng)商在雇傭和環(huán)境保護(hù)方面進(jìn)行評(píng)估的基本準(zhǔn)則。

While Taifeng recognizes that there are different legal and cultural environments in which Suppliers operate throughout the world, this Code sets forth the basic expectations for environmental, labor, supplier working conditions and ethical practices that all suppliers must meet in order to do business with Taifeng. The Code also provides the foundation for Taifeng’s ongoing evaluation of a supplier’s employment practices and environmental compliance.

  1. 總則

    General Principle

    為泰豐先行提供產(chǎn)品或服務(wù)的供應(yīng)商的運(yùn)作,應(yīng)完全遵守所在國(guó)家法律及其他現(xiàn)行規(guī)則、慣例和法規(guī)。

    Suppliers that produce goods for Taifeng shall operate in full compliance with the laws of their respective countries and with all other applicable laws, rules and regulations.

    1. 供應(yīng)商的工廠應(yīng)完全遵守現(xiàn)行的法律、慣例和法規(guī),其中包括但不限于與勞動(dòng)關(guān)系、員工健康、安全以及環(huán)境相關(guān)的法律、慣例和法規(guī)。

    1. The factory operates in full compliance with all applicable laws, rules and regulations, including those relating to labor, worker health and safety, and the environment.

    2. 在合理通知的前提下,供應(yīng)商應(yīng)允許泰豐先行和/或其代表、代理自由進(jìn)入其廠區(qū)查看并獲取所有相關(guān)記錄。

    3. The factory allows Taifeng and/or any of its representatives or agents access to its facilities and to all relevant records with reasonable notice.

    4. 供應(yīng)商應(yīng)保證其雇員確知該行為準(zhǔn)則并且要求其次承包者及供應(yīng)商遵循本規(guī)則。

      c) Suppliers shall communicate the conditions of this Supplier Code of Conduct to their employees, and shall require its subcontractors and suppliers to comply with its terms.

  1. 環(huán)境

    Environment

    供應(yīng)商必須遵守所有現(xiàn)行的環(huán)保方面的法律法規(guī);鼓勵(lì)供應(yīng)商貫徹節(jié)能減排及循環(huán)利用能源、資源。

    Suppliers must comply with all applicable environmental laws and regulations.  Suppliers are encouraged to implement the concepts of Reduce, Reuse and Recycle. 

    1. 供應(yīng)商應(yīng)該建立自身的環(huán)保管理體系并制定與當(dāng)?shù)丨h(huán)保法規(guī)相符的實(shí)施條例,條例中應(yīng)包括持續(xù)提高環(huán)保標(biāo)準(zhǔn)的條款。

      a) The factory has an environmental management system that describes compliance with local laws and regulations and has provisions for continuous improvement.

    2. 供應(yīng)商應(yīng)建立相關(guān)規(guī)范程序,以確保在發(fā)生意外泄漏或其他影響環(huán)境的緊急事件時(shí),能及時(shí)通知地方權(quán)力機(jī)構(gòu)進(jìn)行緊急處理。

    3. The factory has procedures for notifying local community authorities or any other environmental agency of non-compliant air or water discharge or release.

  2. 社會(huì)責(zé)任

    Social Accountability

    1. 歧視-供應(yīng)商雇傭員工應(yīng)基于其工作能力,而非個(gè)人特征或信仰。

  1. Discrimination - Suppliers shall employ workers on the basis of their ability to do the job, not on the basis of their personal characteristics or beliefs.

    I.供應(yīng)商雇傭員工,不應(yīng)考慮其種族、膚色、性別、國(guó)籍、宗教、年齡、生育或婚姻等狀況

    I .The factory employs workers without regard to race, color, gender, nationality, religion, age, maternity or marital status.

    II供應(yīng)商支付員工工資及提供福利,不應(yīng)考慮員工的種族、膚色、性別、國(guó)籍、宗教、年齡、生育或婚姻等狀況。

    II The factory pays workers wages and provides benefits without regard to race, color, gender, nationality, religion, age, maternity or marital status.

    b)強(qiáng)制勞動(dòng)-供應(yīng)商不得使用囚犯或任何其它強(qiáng)制勞動(dòng)力,同時(shí)嚴(yán)禁以工抵債行為。

    Forced Labor – Suppliers shall not use any prison, indentured or forced labor.

    I 供應(yīng)商不得使用任何非自愿勞動(dòng)力,其中包括囚犯、以工抵債勞動(dòng)力或者其他強(qiáng)制勞動(dòng)力。且在任何時(shí)候都不能在違背工人意愿的情況下強(qiáng)迫雇傭。

    The factory does not use involuntary labor of any kind, including prison labor, debt bondage or forced labor by governments and does not require any worker to remain in employment for any period of time against his or her will.

    供應(yīng)商不得進(jìn)行任何奴隸或人口販賣行為, 其中包括但不限于透過使用武力、欺詐或強(qiáng)迫手段招聘、窩藏、運(yùn)輸、教唆、供應(yīng)或獲取人員從事勞動(dòng)或服務(wù)工作

    The factory does not engage in slavery or in human trafficking of any kind, including but not limited to the recruitment, harboring, transportation, solicitation, provision or acquisition of persons for labor or services through the use of force, fraud or coercion.

    c) 童工-供應(yīng)商應(yīng)雇傭滿足本國(guó)現(xiàn)行法律最低工齡要求,或至少16周歲的員工;如兩者不一致以高者為準(zhǔn)。

    c) Child Labor - Suppliers shall employ only workers who meet the applicable minimum legal age requirement or are at least 16 years of age, whichever is greater.

    I 供應(yīng)商應(yīng)遵守所有適用的關(guān)于雇傭童工的法律,包括但不限于與雇用、工資、工時(shí)、加班和工作環(huán)境相關(guān)的法律。

    The factory complies with all applicable child labor laws, including those related to hiring, wages, hours worked, overtime and working conditions.

    II供應(yīng)商應(yīng)保存證明每名員工出生日期的官方文件的復(fù)印件。在獲取不到能夠有效核實(shí)員工確切出生日期文件的情況下,供應(yīng)商應(yīng)采用適當(dāng)可信的評(píng)判辦法來判定員工的年齡。

    The supplier maintains official documentation for every worker that verifies the worker’s date of birth. In those countries where official documents are not available to confirm exact date of birth, the supplier confirms age using an appropriate and reliable assessment method.

    d)工資及工時(shí)-供應(yīng)商應(yīng)根據(jù)相關(guān)適用的法律設(shè)定工時(shí)、工資和加班費(fèi)用。工人工資應(yīng)至少滿足法定最低工資或與當(dāng)?shù)毓I(yè)標(biāo)準(zhǔn)相符,兩者不一致以高者為準(zhǔn)。在確需加班的情況下,供應(yīng)商也應(yīng)控制加班時(shí)間,在確保不侵害員工基本權(quán)益的情況下進(jìn)行生產(chǎn)。

    Wages & Hours - Suppliers shall set working hours, wages and overtime pay in compliance with all applicable laws.  Workers shall be paid at least the minimum legal wage or a wage that meets local industry standards, whichever is greater. While it is understood that overtime may be required, suppliers shall carry out operations in ways that limit overtime to a level that ensures humane and productive working conditions.

    供應(yīng)商應(yīng)根據(jù)相關(guān)法律要求或地方工業(yè)標(biāo)準(zhǔn)支付加班或獎(jiǎng)勵(lì)(或計(jì)件)費(fèi)用,兩者不一致以高者為準(zhǔn)。計(jì)時(shí)加班工資必須高于平時(shí)非加班時(shí)間工資。

    The factory pays overtime and any incentive (or piece) rates that meet all legal requirements or the local industry standard, whichever is greater. Hourly wage rates for overtime must be higher than the rates for the regular work shift.

    e)工作環(huán)境-供應(yīng)商必須尊重所有員工并為其提供安全健康的工作環(huán)境。供應(yīng)商應(yīng)遵守所有適用的關(guān)于工作環(huán)境的法律法規(guī)。禁止供應(yīng)商使用體罰或其他任何生理或心理脅迫方式。供應(yīng)商廠區(qū)內(nèi)應(yīng)保持充足的燈光和通風(fēng)、便捷的通道、設(shè)備維護(hù)良好、有害物質(zhì)應(yīng)標(biāo)注醒目標(biāo)志并得以完善地儲(chǔ)存、處理。為員工提供住宿的供應(yīng)商必須保持住宿場(chǎng)所清潔、安全。

    e) Working Conditions - Suppliers must treat all workers with respect and dignity and provide them with a safe and healthy environment. Suppliers shall comply with all applicable laws and regulations regarding working conditions.  Suppliers shall not use corporal punishment or any other form of physical or psychological coercion.  Supplier’s facilities must be sufficiently lighted and ventilated, aisles accessible, machinery maintained, and hazardous materials sensibly stored and disposed of. Suppliers providing housing for workers must keep these facilities clean and safe.

    The factory complies with all applicable laws regarding working conditions, including worker health and safety, industrial hygiene, sanitation, fire safety, and electrical, mechanical and structural safety.

    ii有足夠標(biāo)有明確標(biāo)識(shí)的出口,以備在出現(xiàn)火情或其他緊急事件時(shí)員工得以有序疏散。緊急情況疏散路線圖必須懸掛在明顯的位置并清楚地標(biāo)明于工廠內(nèi)各區(qū)域。

    There are sufficient, clearly marked and unlocked exits allowing for the orderly evacuation of workers in case of fire or other emergencies. Emergency exit routes are posted and clearly marked in all sections of the factory.

    iii工廠至少每年進(jìn)行一次疏散演習(xí)。

    Evacuation drills are conducted at least annually.

    iv在工作時(shí)間,工廠為所有員工提供可飲用水,且方便員工飲用。

    The factory provides potable water for all workers and allows reasonable access to it throughout the working day.

    v工廠保證在工作時(shí)間為員工提供清潔衛(wèi)生的衛(wèi)生間,不允許無故限制使用。

    The factory maintains throughout working hours, clean and sanitary toilet areas and places no unreasonable restrictions on their use.

    vi工廠將有害和易燃物質(zhì)存儲(chǔ)在安全通風(fēng)的場(chǎng)所,在對(duì)其處理時(shí),要使用安全合法的處理方式。

    The factory stores hazardous and combustible materials in secure and ventilated areas and disposes of them in a safe and legal manner.

    II住宿(如供應(yīng)商提供員工住宿)

    Housing (if applicable):

    i宿舍區(qū)應(yīng)遵守所有與健康安全相關(guān)的適用法律法規(guī),其中包括防火安全、衛(wèi)生、遇險(xiǎn)防護(hù)、以及電類、機(jī)械和建筑安全等規(guī)范。

    Dormitory facilities meet all applicable laws and regulations related to health and safety, including fire safety, sanitation, risk protection, and electrical, mechanical and structural safety.

    ii住宿區(qū)內(nèi),每名員工的休息區(qū)域應(yīng)滿足法定最低要求且符合地方工業(yè)標(biāo)準(zhǔn)。

    The living space per worker in the sleeping quarters meets both the minimum legal requirement and the local industry standard.

    iii每一樓層應(yīng)有明確標(biāo)識(shí)的出口,且在走道、樓梯間和出口上方安裝有緊急照明設(shè)施。

    There are clearly marked exits on each floor, and emergency lighting is installed in halls, stairwells and above each exit.

    iv為確保發(fā)生火情或其他緊急事件時(shí)安全撤退,緊急疏散路線圖應(yīng)張貼在所有就寢區(qū)域。

    Directions for evacuation in case of fire or other emergencies are posted in all sleeping quarters.

    v禁止將生產(chǎn)過程中所使用的有害或易燃物質(zhì)存儲(chǔ)在與就寢區(qū)域相接區(qū)域或直接存放在住宿區(qū)內(nèi)。

    Hazardous and combustible materials used in the production process are not stored in the dormitory or in buildings connected to sleeping quarters.

    vi至少每年進(jìn)行一次防火演習(xí)。

    Fire drills are conducted at least annually.

    vii住宿區(qū)域內(nèi)有飲用水的設(shè)施。

    Potable water is available to dormitory residents.

    f)自由結(jié)社-員工可根據(jù)個(gè)人意愿自由結(jié)社。禁止供應(yīng)商對(duì)員工以合法、和平方式集體結(jié)社、組織或談判的意愿進(jìn)行干涉。是否實(shí)施以上行為應(yīng)完全由員工個(gè)人意志決定。

    Freedom of Association- Workers are free to join associations of their own choosing. Suppliers must not interfere with workers who wish to lawfully and peacefully associate, organize or bargain collectively. The decision whether or not to do so should be made solely by the workers.

    4. 商業(yè)道德規(guī)范

    4.   Business Ethics

  1. 反腐敗-供應(yīng)商應(yīng)該遵循所有反腐敗方面可適用的法律,包括但不限于如《美國(guó)海外行賄法案》中規(guī)范與政府官員交往行為的法律。供應(yīng)商不得為提升泰豐先行的商業(yè)利益或者與泰豐先行之間的商業(yè)往來而違背法律進(jìn)行任何賄賂行為或者任何其他不當(dāng)?shù)慕疱X支付。

    a)  Anti-Corruption - Suppliers must comply with all applicable laws, including those laws governing conduct with government officials such as the U.S. Foreign Corrupt Practices Act.  Suppliers will not make any offer or payment that would constitute an illegal bribe under applicable law, nor otherwise engage in any illegal or corrupt practices in order to promote or advance TAIFENG’s business interest or in an attempt to increase the business the Supplier has with TAIFENG.

    Intellectual Property

  1. 供應(yīng)商應(yīng)該充分尊重泰豐先行或其他任何第三方的知識(shí)產(chǎn)權(quán)。供應(yīng)商應(yīng)采取任何必要的行為保護(hù)泰豐先行知識(shí)產(chǎn)權(quán)以及泰豐先行品牌的完整性,同時(shí)確保其供應(yīng)商以及次承包人對(duì)泰豐先行品牌有同樣的尊重和保護(hù)。

Supplier respects both Taifeng and third party intellectual property rights.  Supplier takes all actions necessary to protect Taifeng intellectual property and Taifeng Brand integrity, and accepts responsibility to hold their suppliers and sub-contractors accountable as well.

  1. 在提供產(chǎn)品給泰豐先行過程中,供應(yīng)商應(yīng)采取適當(dāng)行動(dòng)以確保不侵犯任何第三方的專利并采取必要行動(dòng)確保泰豐先行不會(huì)收到任何侵權(quán)產(chǎn)品。上述行動(dòng)包括但不限于采用專利搜索和分析等。

In supplying products to Taifeng, Supplier does not violate or infringe on any third party patents, and takes appropriate action to ensure that Taifeng will not receive any infringing products.  Action may include but is not limited to freedom to use patent searches and analysis thereof to ensure compliance.

  1. 關(guān)系責(zé)任-供應(yīng)商應(yīng)該對(duì)泰豐先行內(nèi)部員工行為規(guī)范有明確認(rèn)知。《泰豐先行公司員工行為規(guī)范》可根據(jù)供應(yīng)商的要求提供給供應(yīng)商。《行為規(guī)范》內(nèi)容包括泰豐先行員工不得向供應(yīng)商索取禮物,也不得接受供應(yīng)商提供的禮物和招待,如果上述禮物和招待會(huì)影響或可能影響泰豐先行員工與供應(yīng)商合作中的商業(yè)決定,或干擾泰豐先行員工在履行職責(zé)時(shí)的公正性。

Relationship responsibility - Supplier must be sensitive to Taifeng colleague internal codes of conduct.  Copies of these codes can be provided upon request.  Taifeng Code example includes Taifeng colleague cannot solicit any gifts from supplier nor can a colleague accept any gifts or entertainment if they could influence, or appear to influence, the colleague’s business decisions on behalf of the supplier, or interfere with the colleague’s ability to be impartial in carrying out duties.

chains of minerals

充分認(rèn)識(shí)到在受沖突影響和高風(fēng)險(xiǎn)區(qū)域從事礦產(chǎn)開采、交易、處理、出口存在可能形成重大負(fù)面影響的風(fēng)險(xiǎn), 并認(rèn)識(shí)到企業(yè)有尊重人權(quán)、不對(duì)社會(huì)產(chǎn)生負(fù)面影響的義務(wù), 泰豐先行承諾采納中國(guó)五礦化工進(jìn)出口商會(huì)(CCCMC)發(fā)布的《中國(guó)負(fù)責(zé)任礦產(chǎn)供應(yīng)鏈盡責(zé)管理指南》(以下簡(jiǎn)稱《中國(guó)指南》)、經(jīng)濟(jì)合作與發(fā)展組織(OECD)發(fā)布的《經(jīng)濟(jì)合作與發(fā)展組織關(guān)于來自受沖突影響和高風(fēng)險(xiǎn)區(qū)域的礦石的負(fù)責(zé)任供應(yīng)鏈盡責(zé)管理指南》(第三版)(以下簡(jiǎn)稱《OECD指南》),以及《多德-弗蘭克華爾街改革和消費(fèi)者保護(hù)法》(以下簡(jiǎn)稱《多德-弗蘭克法案》)關(guān)于鎢、錫、鉭、金(以下簡(jiǎn)稱3TG)礦產(chǎn)在沖突地區(qū)的管理?xiàng)l例,并將其納入與礦產(chǎn)資源供應(yīng)商簽訂的合同或協(xié)議之中。泰豐先行將廣泛傳播此政策,并且將此政策按照《中國(guó)指南》和《OECD指南》在礦產(chǎn)資源供應(yīng)鏈中推行。

Fully recognize that the mining, trading, processing, and exporting of the minerals in the conflict-affected and high-risk areas may have a significant negative impact, and recognize that companies have an obligation to respect human rights and never have any negative impact on society. Taifeng is committed to adopting the "China Responsible Mineral Supply Chain Due Diligence Management Guide" (hereinafter referred to as "China Guidance") which was issued by China Chamber of Commerce of Metals, Minerals & Chemicals Importers and Exporters (CCCMC) and the "OECD Due Diligence Guidance for Responsible Supply Chains of Minerals from Conflict-Affected and High-Risk Areas, Third Edition" (hereinafter referred to as "OECD Guidance") which was issued by Organization for Economic Cooperation and Development (OECD), and "Dodd-Frank Wall Street Reform and Consumer Protection Act" (hereinafter referred to as "Dodd-Frank Act") regulating the Tin, Tantalum and Tungsten and Gold (hereinafter referred to as "3TG") Minerals in Conflict Areas. We incorporate these two Guidance into contracts or agreements with mineral resource suppliers. Taifeng will widely promote this Policy, and endeavor to implement this policy in the mineral resources supply chain in accordance with the “China Guidance” and “OECD Guidance”.

5.1. 與礦產(chǎn)開采、運(yùn)輸、或交易有關(guān)的嚴(yán)重侵權(quán)行為:

5.1. Regarding serious abuses associated with the extraction, transport or trade of minerals

在高風(fēng)險(xiǎn)區(qū)域開展采購(gòu)或經(jīng)營(yíng)活動(dòng)時(shí),泰豐先行既不會(huì)容忍也不會(huì)以任何方式獲利于、幫助、協(xié)助或便利任何一方實(shí)施:

While sourcing from, or operating in, conflict-affected and high-risk areas, Taifeng will neither tolerate nor by any means profit from, contribute to, assist with or facilitate the commission by any party of:

  1. 最惡劣形式的童工;(在世界勞工組織1999年最惡劣形式的童工公約(第182號(hào))的第三節(jié)中定義了最惡劣形式的童工,其中(d)條款中規(guī)定了其中一種形式,即其性質(zhì)或是在其中從事工作的環(huán)境,很可能損害兒童的健康、安全或道德的工作

    a. The worst forms of child labor; (In the International Labor Organization C182 - Worst Forms of Child Labor Convention, 1999 (No. 182) the worst form of child labor is defined in Chapter 3, wherein the sub-clause (d) defines one of the form, that is work which, by its nature or the circumstances in which it is carried out, is likely to harm the health, safety or morals of children);

    b. 任何形式的酷刑、殘暴、不人道和有辱人格的待遇;

    b. Any forms of torture, cruel, inhuman and degrading treatment;

    c. 任何形式的強(qiáng)迫或強(qiáng)制勞動(dòng),即以懲罰作為威脅榨取的任何個(gè)人的,非自愿提供的勞動(dòng)或者服務(wù);

    c. Any forms of forced or compulsory labor, which means work or service which is exacted from any person under the menace of penalty and for which said person has not offered himself voluntarily;

    d. 其他嚴(yán)重侵犯和踐踏人權(quán)的行為,如普遍的性暴力行為;

    d. Other serious violations and abuses of human rights, such as widespread sexual violence;

    e. 戰(zhàn)爭(zhēng)罪或其他嚴(yán)重違反國(guó)際人道主義法的行為,反人類罪或種族滅絕罪。

    e. War crimes or other serious violations of international humanitarian law, crimes against humanity or genocide.

    5.2. 對(duì)嚴(yán)重侵權(quán)行為的風(fēng)險(xiǎn)管理:

    5.2. Regarding risk management of serious abuses

    如果泰豐先行有合理理由認(rèn)為該風(fēng)險(xiǎn)存在,即上游供應(yīng)商正從實(shí)施第1條所規(guī)定的嚴(yán)重侵權(quán)行為的任何一方進(jìn)行采購(gòu)或與該方有關(guān)聯(lián),泰豐先行將立即中止或中斷與該上游供應(yīng)商的合作。

    Taifeng will immediately suspend or discontinue engagement with upstream suppliers where Taifeng identify a reasonable risk that they are sourcing from, or linked to, any party committing serious abuses as defined in Article 1.

    5.3. 關(guān)于直接或間接支持非國(guó)家武裝團(tuán)體:

    5.3. Regarding direct or indirect support to non-state armed groups

    泰豐先行不會(huì)容忍任何通過礦產(chǎn)開采、運(yùn)輸、交易、處理或出口為非國(guó)家武裝團(tuán)體提供直接或間接的支持。通過礦產(chǎn)開采、運(yùn)輸、交易、處理或出口為非國(guó)家武裝團(tuán)體提供直接或間接的支持包括且不限于從非國(guó)家武裝團(tuán)體或其關(guān)聯(lián)方購(gòu)買礦產(chǎn),向其進(jìn)行付款,或以其他方式為其提供后勤支援或設(shè)備等。這些武裝團(tuán)體或關(guān)聯(lián)方:

    Taifeng will not tolerate any direct or indirect support to non-State armed groups through the extraction, transport, trade, handing or export of minerals. “Direct or Indirect support” to non-state armed groups through the extraction, transport, trade, handing or export to of minerals includes, but is not limited to, procuring minerals from, making payments to or otherwise providing logistical assistance or equipment to, non-state armed groups or their affiliates who:

    a. 非法控制礦區(qū),或以其他方式對(duì)運(yùn)輸路線、礦產(chǎn)資源交易地、以及供應(yīng)鏈的上游行為主體進(jìn)行控制;并/

    a. Illegally control mine sites or otherwise control transportation routes, points where minerals are traded and upstream actors in supply chain; and/or

    b. 在礦區(qū)入口、通往礦區(qū)沿線或礦產(chǎn)資源交易地非法征稅或者勒索錢財(cái)或自然資源;并/

    b. Illegally tax or extort money or minerals at points of access to mine sites, along transportation routes or at points where minerals are traded; and/or

    c. 對(duì)中間商、出口企業(yè)或國(guó)際貿(mào)易商非法征稅或勒索。

    c. Illegally tax or extort intermediaries, export companies or international traders.

    5.4. 對(duì)向非國(guó)家武裝團(tuán)體提供直接或間接支持的風(fēng)險(xiǎn)管理:

    如果泰豐先行有理由認(rèn)為,上游供應(yīng)商從向非國(guó)家武裝團(tuán)體(見第3條中定義)提供直接或間接支持的任何一方進(jìn)行采購(gòu)或與之存在關(guān)系,泰豐先行將立即中止或中斷與該供應(yīng)商的合作。

    Taifeng will immediately suspend or discontinue engagement with upstream suppliers where we identify a reasonable risk that are sourcing from, or linked to, any party providing direct or indirect support to non-state armed groups as defined in Article 3.

    5.5. 關(guān)于行賄受賄及礦產(chǎn)原產(chǎn)地的欺詐性失實(shí)陳述:

    5.5. Regarding bribery and fraudulent misrepresentation of the origin of minerals

    泰豐先行不會(huì)直接或間接地提出、承諾、進(jìn)行或索要任何賄賂,并且抵制索賄,不會(huì)為了掩蓋或偽造礦產(chǎn)資源原產(chǎn)地,虛報(bào)礦產(chǎn)資源開采、貿(mào)易、處理、運(yùn)輸、出口等活動(dòng)應(yīng)向政府繳納的稅收、費(fèi)用和特許開采費(fèi)而行賄。

    Taifeng will not offer, promise, give or demand any bribes, and will resist the solicitation of bribes to conceal or disguise the origin of minerals, to misrepresent taxes, fees and royalties paid to governments for the purposes of mineral extraction, trade, handing, transport and export.

    5.6. 關(guān)于洗錢:

    5.6. Regarding Money Laundering

    如果泰豐先行有理由認(rèn)為,存在因開采、交易、處理、運(yùn)輸或出口在礦區(qū)入口、運(yùn)輸路線沿線、或上游供應(yīng)商礦產(chǎn)資源交易地進(jìn)行非法征稅或勒索而得的礦產(chǎn)資源所引起或與之相關(guān)的洗錢風(fēng)險(xiǎn),泰豐先行將支持或采取措施,為有效消除洗錢行為做出貢獻(xiàn)。

    Taifeng will support efforts, or take steps, to contribute to the effective elimination of money laundering where we identify a reasonable risk of money-laundering resulting from, or connected to, the extraction, trade, handing, transport or export of minerals derived from the illegal taxation or extortion of minerals at points of access to mine sites, along transportation routes or at points where minerals are traded by upstream suppliers.

    5.7. 關(guān)于向政府支付的稅收、費(fèi)用及特許費(fèi):

    5.7. Regarding the payment of taxes, fees and royalties due to governments

    泰豐先行將確保向政府支付所有高風(fēng)險(xiǎn)區(qū)域礦石開采、交易、出口相關(guān)的合法稅收、費(fèi)用和特許費(fèi),并且承諾根據(jù)企業(yè)在供應(yīng)鏈上所處位置依照《采掘行業(yè)透明度行動(dòng)計(jì)劃》(EITI)中各項(xiàng)原則對(duì)此類支付進(jìn)行披露。

    Taifeng will ensure that all taxes, fees, and royalties related to mineral extraction, trade and export from conflict-affected and high-risk areas are paid to governments and, in accordance with the company’s position in the supply chain, we commit to disclose such payments in accordance with the principles set forth under the Extractive Industry Transparency Initiative(EITI).

    5.8. 對(duì)行賄受賄及礦產(chǎn)原產(chǎn)地的欺詐性失實(shí)陳述、洗錢及向政府支付的稅收、費(fèi)用、特許費(fèi)的風(fēng)險(xiǎn)管理:

    根據(jù)企業(yè)在供應(yīng)鏈上所處的具體位置,泰豐先行承諾與供應(yīng)商、中央或地方政府機(jī)關(guān)、國(guó)際組織、民間社會(huì)以及受影響的第三方酌情進(jìn)行合作,本著在合理的時(shí)間跨度內(nèi)采取顯著措施防范或降低有負(fù)面影響的風(fēng)險(xiǎn)之目的,對(duì)績(jī)效進(jìn)行改善或跟蹤。風(fēng)險(xiǎn)降低措施實(shí)施六個(gè)月未奏效,泰豐先行將中止或中斷與上游供應(yīng)商的合作。

    In accordance with the specific position of the company in the supply chain, we commit to engage with suppliers, central or local governmental authorities, international organizations, civil society and affected third parties, as appropriate, to improve and track performance with a view to preventing or mitigating risks of adverse impacts through measureable steps taken in reasonable timescales. Taifeng will suspend or discontinue engagement with the upstream supplier after failed attempts at mitigation.

    5.9. 關(guān)于職業(yè)健康與安全:

    在進(jìn)行采購(gòu)或生產(chǎn)時(shí),泰豐先行不會(huì)獲利于、協(xié)助、便利于任何為其直接和/或間接雇員和/或在其生產(chǎn)現(xiàn)場(chǎng)的任何人員提供威脅到生命的職業(yè)環(huán)境的一方,或從該方處采購(gòu)或與之存在關(guān)聯(lián)。

    When purchasing or producing, Taifeng neither benefit, assist, or facilitate any party providing the life-threatening occupational environment for any of its direct and/or indirect employees and/or anyone at its production site, nor purchase from or in any manner engage the party providing the same.

    5.10. 關(guān)于職業(yè)健康與安全的風(fēng)險(xiǎn)管理:

    5.10. Regarding risk management on occupational health and safety

    如果泰豐先行有合理理由認(rèn)為上游供應(yīng)商提供威脅到生命的職業(yè)環(huán)境,或從有該情況的任何一方采購(gòu)或存在關(guān)聯(lián),泰豐先行將立即中止或中斷與該供應(yīng)商的合作。

    Taifeng will immediately suspend or discontinue engagement with upstream suppliers if we reasonably believe that the upstream supplier provides the life-threatening occupational environment for any of its direct and/or indirect employees and/or anyone at its production site, purchase from or in any manner engage any party providing the same.

    5.11. 關(guān)于童工:

    5.11. Regarding child labor

    在開展采購(gòu)或開展經(jīng)營(yíng)活動(dòng)時(shí),泰豐先行將不會(huì)雇傭低于東道國(guó)法律或法規(guī)規(guī)定的最低工作年齡的兒童,不會(huì)獲利于、協(xié)助或?yàn)榈陀跂|道國(guó)法律或法規(guī)規(guī)定的最低工作年齡的兒童就業(yè)提供便利,不會(huì)從有該情形的任何一方采購(gòu)或與其有關(guān)聯(lián)。如果東道國(guó)沒有相關(guān)的法律或法規(guī)規(guī)定,最低工作年齡為16周歲。

    When purchasing or producing, Taifeng neither employ the child labor under the minimum age as specified by the applicable law and regulations of the host country, nor benefit, assist, or facilitate the aforesaid employment, nor purchase from or in any manner engage any party employing the same. If there is no applicable law and regulations in the host country relating to the minimum age, it shall be 16 years.

    Taifeng will immediately suspend or discontinue engagement with upstream suppliers if we reasonably believe that the upstream supplier employ the child labor under the minimum age, purchase from or in any manner engage any party employing the same.

  1. 作為與泰豐先行商業(yè)往來的一個(gè)條件,各供應(yīng)商必須遵循本行為準(zhǔn)則。泰豐先行會(huì)不斷完善自身對(duì)供應(yīng)商是否遵循本準(zhǔn)則的評(píng)估體系。與以下泰豐先行公司供應(yīng)商行為規(guī)范各條對(duì)應(yīng),各供應(yīng)商可選擇適用相對(duì)應(yīng)的國(guó)際認(rèn)可標(biāo)準(zhǔn):

    1. As a condition of doing business with Taifeng, each and every supplier factory must comply with this Code of Conduct.  Taifeng will continue to develop monitoring systems to assess compliance. However, compliance with the following internationally recognized alternative standards will assure minimum standards are met for the listed aspects of Taifeng’s SCOC.

  1. 如泰豐先行發(fā)現(xiàn)并確定任一供應(yīng)商違反了此行為規(guī)范,泰豐先行有權(quán)終止與其的業(yè)務(wù)往來或要求此工廠執(zhí)行整改計(jì)劃。如有建議實(shí)施整改卻未執(zhí)行者,泰豐先行將延遲其未來訂單的發(fā)放,且有可能終止與其當(dāng)前的合作。

    If Taifeng determines that any factory has violated this Code, Taifeng may either terminate its business relationship or require the factory to implement a corrective action plan. If corrective action is advised but not taken, Taifeng  will suspend placement of future orders and may terminate current production

  2. 如供應(yīng)商意識(shí)其自身或其供應(yīng)商沒有達(dá)到本規(guī)范要求標(biāo)準(zhǔn)應(yīng)及時(shí)通知泰豐先行;并立即采取必要的整改措施加以改正。

    Suppliers will notify Taifeng immediately if they become aware of any non-compliance of their company or of any of their suppliers with these standards, and suppliers will take immediate necessary actions to remedy any non-compliance.
